Terms of Service
Effective date: October 5, 2026 · Last updated: October 5, 2026
These Terms of Service (the “Terms”) are an agreement between you and Techtum Inc. (“Techtum”, “we”, “us”, or “our”) and govern your access to and use of Apex.
Apex is an artificial-intelligence-powered organizational and sales intelligence platform. References to the “Services” in these Terms include Apex, Techtum websites and domains, browser extensions, applications, integrations, APIs, support services, and other related services operated by Techtum.
Please read these Terms carefully. By creating an account, accessing, or using the Services, you agree to be bound by them.
1. Acceptance of these Terms
These Terms apply to every person who accesses or uses the Services. If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you and that entity.
If your organization has signed a separate written agreement with Techtum that covers the Services, that agreement controls to the extent it conflicts with these Terms.
If you do not agree to these Terms, do not access or use the Services.
2. Eligibility and accounts
You must be at least 18 years old to create an Apex account or use the Services. If we learn that a person under 18 created an account, we may suspend or delete it.
When you create an account, you agree to:
- Provide accurate and complete registration information and keep it current;
- Keep your password and other authentication credentials confidential;
- Not share your account or allow others to use your credentials; and
- Notify us promptly of any unauthorized access to or use of your account.
You are responsible for all activity that occurs under your account, except to the extent caused by Techtum’s breach of these Terms.
3. Workspaces and administrators
Apex is organized into workspaces. A workspace owner or administrator may invite users, assign roles and permissions, connect integrations, manage settings, and remove users or content.
If you join a workspace administered by an organization, that organization may access, monitor, export, or delete information associated with your use of the workspace, and may suspend or remove your access. Techtum is not responsible for an organization’s administration of its workspace.
Workspace owners are responsible for ensuring that their users comply with these Terms and for the decisions they make about who receives access to workspace information.
4. The Services
Subject to these Terms, Techtum grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business purposes during the term of your account.
We are continually developing the Services. We may add, change, or remove features, integrations, or functionality at any time. If we make a change that materially reduces the core functionality of a paid plan, we will make reasonable efforts to provide advance notice.
We may impose reasonable usage limits, rate limits, or storage limits to protect the security, stability, and availability of the Services.
5. Customer Content
“Customer Content” means documents, files, messages, records, and other information that you or your workspace upload, synchronize, submit, or generate through the Services, including content imported from connected services.
Ownership. As between you and Techtum, you or your organization retain all rights in Customer Content. Techtum does not claim ownership of Customer Content.
License to Techtum. You grant Techtum a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Customer Content solely as necessary to provide, secure, support, and maintain the Services for you, to comply with law, and as otherwise described in our Privacy Policy.
Techtum does not use Customer Content to train Techtum’s generalized or shared artificial-intelligence models, and does not use Customer Content for personalized advertising.
Your responsibilities. You represent and warrant that:
- You have all rights, permissions, notices, and consents necessary to upload or synchronize Customer Content and to allow Techtum to process it as described in these Terms and the Privacy Policy;
- Customer Content and your use of the Services do not violate applicable law or the rights of any third party; and
- You will not use the Services to store or process protected health information, payment-card data, government identification numbers, or other sensitive categories of data unless Techtum has agreed to it in writing.
6. Connected services and integrations
Apex can connect to third-party services such as Google Workspace, Microsoft 365, Salesforce, HubSpot, Slack, and Notion. When you authorize a connection, you direct Techtum to access and import information from that service on your behalf, within the permissions you grant.
Your use of a connected service is governed by your agreement with its provider. Techtum does not control and is not responsible for third-party services, their availability, or changes to their APIs that affect an integration.
You may disconnect an integration at any time. Disconnecting a service stops future synchronization but does not necessarily delete information already imported or generated within Apex.
7. AI outputs and automated actions
Apex uses artificial intelligence to generate summaries, briefs, answers, recommendations, rankings, drafts, and other outputs (“Outputs”).
- Outputs may be inaccurate or incomplete. AI systems can produce content that is wrong, outdated, or misleading, even when it appears confident.
- You are responsible for review. You should independently review Outputs before relying on them, sharing them, or using them to make decisions, particularly decisions about people, finances, or legal matters.
- Outputs are not professional advice. Outputs do not constitute legal, financial, tax, employment, or other professional advice.
- Automated actions. Where Apex offers to send messages, update records, or take other actions on your behalf, you are responsible for approving those actions and for their consequences.
Subject to these Terms, you may use Outputs for your internal business purposes. Similar Outputs may be generated for other users, and Techtum makes no claim that Outputs are unique.
8. Acceptable use
You agree not to, and not to allow anyone else to:
- Use the Services in violation of any applicable law or regulation;
- Access information, accounts, or systems you are not authorized to access, or attempt to bypass workspace permissions or security controls;
- Upload or transmit malware, or interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except where permitted by law;
- Scrape, crawl, or use automated means to access the Services other than through interfaces Techtum provides;
- Use the Services to send spam or unsolicited communications, or to harass, defame, or discriminate against any person;
- Use the Services to make solely automated decisions that produce legal or similarly significant effects on individuals, such as hiring or credit decisions;
- Use the Services or Outputs to build a competing product or to train artificial-intelligence models that compete with the Services; or
- Resell, sublicense, or provide the Services to third parties except as expressly permitted by Techtum.
9. Browser extensions and APIs
Apex browser extensions, APIs, and Model Context Protocol (MCP) or similar connectors are part of the Services and are subject to these Terms. You may use them only with your own account and only as documented by Techtum.
API keys and access tokens issued to you are confidential credentials. You are responsible for keeping them secure and for activity performed with them.
10. Fees and payment
Some features of the Services may require a paid plan. When you purchase a paid plan, you agree to pay the fees described at the time of purchase or in your order form, plus applicable taxes.
Unless otherwise stated, subscriptions renew automatically for successive terms until cancelled, and fees are non-refundable except where required by law or expressly stated otherwise. Payments are processed by a third-party payment processor.
We may change our prices with reasonable advance notice. Price changes take effect at the start of your next billing period. If payment is overdue, we may suspend access to paid features after providing notice.
11. Beta and evaluation features
We may offer features identified as beta, preview, early access, or evaluation features. These features are provided “as is”, may contain errors, may change or be discontinued at any time, and are excluded from any service commitments.
12. Intellectual property and feedback
The Services, including software, models, designs, text, graphics, logos, and other materials provided by Techtum (excluding Customer Content), are owned by Techtum or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, Techtum reserves all rights.
“Techtum”, “Apex”, and related names and logos are trademarks of Techtum. You may not use them without our prior written permission.
If you provide suggestions, ideas, or other feedback about the Services, Techtum may use that feedback without restriction or obligation to you.
13. Privacy
Our Privacy Policy explains how Techtum collects, uses, stores, and discloses personal information in connection with the Services, including information obtained from Google, Microsoft, and other connected services. By using the Services, you acknowledge the practices described in the Privacy Policy.
14. Suspension and termination
You may stop using the Services and close your account at any time. Workspace owners may close their workspace through the Services or by contacting us.
Techtum may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that you have violated these Terms, that your use poses a security risk or could harm Techtum or others, or where required by law. Where practical, we will give you notice and an opportunity to resolve the issue before termination.
After termination, your right to use the Services ends. Customer Content will be retained and deleted as described in the Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including sections on Customer Content responsibilities, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Techtum does not warrant that the Services will be uninterrupted, secure, or error-free, that Outputs will be accurate or reliable, or that the Services will work with any particular connected service.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHTUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TECHTUM’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TECHTUM FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Techtum and its officers, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law or the rights of a third party.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.
Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Florida, and you and Techtum consent to the personal jurisdiction of those courts.
19. Changes to these Terms
We may update these Terms as the Services develop or legal requirements evolve. When we update the Terms, we will revise the “Last updated” date.
If a change is material, we will provide reasonable advance notice through the Apex interface, email, a website notice, or another appropriate method. Your continued use of the Services after updated Terms take effect means you accept them.
20. General terms
- Entire agreement. These Terms, together with the Privacy Policy and any order form or written agreement with Techtum, are the entire agreement between you and Techtum regarding the Services.
- Assignment. You may not assign these Terms without our prior written consent. Techtum may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Export and sanctions. You may not use the Services in violation of U.S. export control or sanctions laws.
